Welcome to BONUS! The BONUS website (`the Site`) provides information about the BONUS platform and employee experience services (`the Service`). For registered users of BONUS, the Site, along with the BONUS mobile application (`the App`) and the API, offers a platform and tools to use the Service and is considered a part of the Service.

1. Acceptance of Terms and Conditions

BONUS provides the Site and the Service, including the App, API, and any features or services offered through the Site and Service, according to these terms and conditions (`Terms of Service`).

The Terms of Service include the BONUS Privacy Policy, which explains how data is collected, used, and protected from visitors to the Site and users of the Service. If you do not agree to any part of the Terms of Service, you may not use the Site or the Service in any way. Your use of the Site signifies your acceptance of the Terms of Service. Access to the App and some parts of the Site is only available to registered users of BONUS. If you are a registered BONUS user, your use of the Site and Service is subject to your acceptance of these terms. If your organization has entered into a business agreement with BONUS, including any agreement or addendum regarding the protection of personal data (`Customer Agreement`), then (1) the terms of the Customer Agreement govern the relationship between your organization and BONUS, and the Terms of Service govern your personal use of the Site and Service, and (2) if there is any conflict between the Terms of Service and the Customer Agreement, the Customer Agreement will take precedence over the Terms of Service.

2. Access to the Site and Account Security

BONUS grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site, and if you are a registered user, to access and use the Service through your browser, the App, or integrations (as defined below) during the subscription period specified in the applicable order (as defined below), subject to the Terms of Service and any Customer Agreement between you and BONUS, and only for your personal or internal business purposes.

You may not, directly or indirectly: reverse engineer, decompile, disassemble, or attempt to discover the source code, object code, underlying structure, ideas, or algorithms related to the Service or any software, documentation, or data related to the Service (`Software`); modify, translate, or create derivative works based on the Service or any Software (except to the extent explicitly allowed within the Service); use the Service or any Software for time-sharing, service bureau purposes, or otherwise for the benefit of a third party; or remove any proprietary notices or labels.

From time to time, BONUS may provide its customers and their users with an API, which may include browser extensions, sample code, related documentation, and other relevant materials. If you are a registered organizational user, you may use the API for your internal business purposes to develop or enable web services or other applications (`Integrations`) that will communicate and interact with the Service. Notwithstanding anything in the Terms of Service or any other agreement between you and BONUS, the API is provided `as is,` and BONUS makes no representation or warranty of any kind regarding the API, including but not limited to any representation or warranty that the API, Integrations, or any products or results from the use of the API or Integrations will meet your requirements, achieve any intended result, or be compatible or operate with any software, systems, or services of any third party or your own.

If you are an organization and a customer of BONUS, you may assign authorized users to your organization's account. Your authorized users will be able to access your organization's account and perform any actions allowed for users under the Terms of Service and any applicable Customer Agreement.

As an organization, you hereby represent and warrant that: (a) you have taken all necessary organizational action to authorize your acceptance of these terms and have granted the person accepting these terms on your behalf sufficient authority to bind you to these terms; and (b) you are solely responsible for the access and use of the Service or Site by your authorized users (including their equipment, accounts, passwords, and files) and will ensure their compliance with these terms. If you create or assign a user account as an employee or contractor of an organization that is a customer of BONUS, you acknowledge that you are authorized by your organization to do so, and you agree to use the Site and Service only as authorized by your organization.

To access certain areas of the Site and Service, you may be required or requested to provide specific registration details or other information. It is a condition of your use of the Site and Service that all details and information you provide are true, current, and complete, and that you have the appropriate legal authority to provide this information. You expressly agree that all information you provide to register with BONUS is subject to the BONUS Privacy Policy, and you agree to all actions we take with respect to your information in accordance with the BONUS Privacy Policy.

If you choose, or are provided with, a username, password, or any other information as part of the Site or Service's security features, you agree to treat such information as confidential and not disclose it to any other person or entity. Your user account, if applicable, is personal to you, and you agree not to allow any other person to access the Site or Service through your user account. You agree to notify BONUS immediately if you become aware of any unauthorized access to or use of your username, password, or any other security information.

BONUS reserves the right to deny access to the Site and Service to any unauthorized user or any user BONUS believes to be in breach of these terms.

3.Subscription and Payment Terms

Your subscription to BONUS is activated when your status on BONUS becomes active, granting you access to the service. This subscription remains active until terminated by either party in accordance with these terms. You agree to pay (and authorize the deduction of the amount from your credit card) all fees associated with your acceptance of a paid subscription order. A `paid subscription order` refers to any request you submit (including, but not limited to, accepting an offer or proposal through an online form or in writing) to purchase a continuous paid subscription to the service. If you fail to pay any fees by their due date or any recurring fees required under the applicable paid subscription order, you will not be permitted to use the service. All payment obligations are non-cancelable, and all amounts paid are non-refundable, except for amounts paid in error. Unless explicitly stated otherwise in the applicable paid subscription order, fees and other charges do not include federal, state, or local taxes, foreign withholding taxes, use taxes, property taxes, sales taxes, value-added taxes, service taxes, or similar taxes (including any sales tax or value-added tax) (`Taxes`) that may now or in the future be imposed, and all such Taxes are your responsibility.

BONUS is committed to continually improving the site and the service and may modify subscription plans, introduce new features, or eliminate existing features. We guarantee that these changes will not significantly diminish the value of the service. To ensure continued access, your subscription will automatically renew at the end of each billing cycle. Cancellation requires notification at least 30 days prior to the end of the current period. You may cancel your subscription at any time, effective at the end of the current billing cycle. If you choose to cancel before the end of the term, you will be responsible for all fees incurred until the end of the cycle. These fees are non-refundable, affirming your commitment to the subscription period.

4. Intellectual Property and Trademarks.

Except as expressly provided in these terms, the site and service, along with all their contents, features, and functionalities (including, but not limited to, all information, software, text, displays, images, videos, audio, designs, selections, and arrangements), are owned by BONUS and its licensors and service providers and are protected under U.S. and foreign laws, copyright, trademark, patent, trade secret laws, and other intellectual property rights or proprietary rights.

5. Use of the Service and Restrictions

You agree to use the site and service only for lawful purposes and in accordance with these terms of use. You agree not to use the site or service in any way that may:

• Violate any local or international laws or regulations.

• Harm or attempt to harm minors in any way.

• Transmit, distribute, or publish any inappropriate or objectionable materials, including, but not limited to, content that contains defamation, disparagement, incitement to violence, or hatred.

• Send or provide any materials containing viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or communications equipment.

BONUS reserves the right to suspend or terminate your access to the service if you violate any of these terms.

6. Termination of Use

BONUS may terminate or suspend your access to the site or service, in whole or in part, at any time for any reason, including, but not limited to, if you violate these terms. Upon termination, you must cease using the service and remove the app from all your devices. All provisions of these terms of use that should remain in effect after termination, including, but not limited to, provisions concerning ownership, disclaimers, and limitations of liability, will survive termination.

7. Prohibited Uses

While using the site and service, you agree not to:

• Copy, distribute, modify, display, or perform any part of the site or any content thereon without permission.

• Download or copy content or information for the benefit of a third party.

• Use any automated techniques to access the site or content.

• Post or transmit any content that infringes intellectual property rights or contains viruses.

• Bypass security measures on the site.

• Post materials that contain harmful, inappropriate, or illegal content.

• Use the site for any unauthorized political or commercial purposes.

8. Disclaimer and Limitation of Liability

BONUS provides the site and service on an `as is` and `as available` basis without any warranties, whether express or implied. BONUS does not guarantee that the service will be error-free or uninterrupted. BONUS and its employees are not liable for any direct or indirect damages arising from your use of the site or service.

9. Indemnification

You agree to indemnify and hold BONUS harmless from any claims or losses arising from your violation of these terms, including your use of the site or service in unauthorized ways. Electronic Communication You agree to receive communications electronically from BONUS via email or through the site, and such communications shall be sufficient to satisfy legal requirements..

10. Links

The site may contain links to external sites or resources. BONUS is not responsible for the availability of these links or the content on external sites or for any damages arising from their use.

11. Modifications to the Terms

BONUS reserves the right to modify these terms at any time. Changes will be posted on the site and will take effect immediately upon publication. Your continued use of the site following such changes constitutes your acceptance of the modified terms.

12. Copyright Infringement Claim Procedures

13. General Provisions

• If any provision of these terms is deemed invalid, the remaining provisions will remain in effect.

• These terms are governed by the laws of the Kingdom of Saudi Arabia.

• These terms constitute the entire agreement between you and BONUS regarding the site and service.
